Blush+Wren Brand Partner Supplement

This supplement applies to trade customers enrolled in our premium Brand Partner membership and forms part of, and should be read with, the Trade Terms of Service (and, where relevant, the Private Label Supplement). Where this supplement conflicts with the general terms, this supplement applies to the Brand Partner service.

What Brand Partner is

Brand Partner is a paid premium membership for established trade customers who want a closer, more bespoke relationship with Blush+Wren. Brand Partner members receive our top trade discount tier (Tier 3) together with the additional benefits below.

Membership fee

Brand Partner membership costs £99 per month (excluding VAT; we are not VAT registered), billed monthly in advance through Shopify Subscriptions. Membership has a minimum initial term of 3 months and then continues month to month until cancelled in line with the "Duration and cancellation" section. Prices for non-UK markets are converted from GBP.

What is included

Subject to fair use and to anything we agree with you in writing, Brand Partner membership includes:

Tier 3 trade pricing (29% off RRP);
Exclusive packaging options and design support;
Custom colour development, including development of a bespoke custom colour ring for your business;
VIP and priority support;
Collaborative design support; and
access to store-to-store dropshipping, allowing eligible orders to be shipped directly to your customer on your behalf.

The specific scope, timelines and any limits of these benefits (for example the number of custom colours developed, or dropshipping eligibility and process) are agreed with you and may be set out separately.

Custom colours and bespoke designs

Custom colours, bespoke colour rings, packaging designs and similar items developed for you are made to your specification and are non-returnable except where faulty. We retain ownership of our underlying formulations, methods and know-how. Any brand materials you provide are dealt with as set out in the Private Label Supplement.

Any custom colour developed for you is exclusive to you for the duration of your membership. That exclusivity lapses immediately when your membership ends, for any reason. On termination, all intellectual property, colour formulations and designs remain the property of Blush+Wren and we may use, offer or develop them for other customers, unless we have privately agreed otherwise in writing. The underlying hair, techniques and general shade capabilities remain ours at all times.

Dropshipping

Store-to-store dropshipping is available on request and is approved on a case-by-case basis at our discretion. Where approved, you are responsible for the accuracy of the order and recipient details you provide. We will handle the end recipient's delivery details only to fulfil the order, in line with our Privacy Policy. You remain the seller to your own customer and are responsible for your own customer relationship, pricing and terms.

Duration and cancellation

Membership has a minimum initial term of 3 months. After the initial term it renews each month until cancelled. You may cancel with effect from the end of your current paid month (and no earlier than the end of the minimum term). Fees already paid are not refunded, and are not pro-rated, on cancellation. We may suspend or end membership for non-payment or breach of the Trade Terms of Service, and where we end a membership for breach we may refuse to allow you to re-join.

If membership ends, you keep the standard trade tier your account otherwise qualifies for, but the Brand Partner benefits (including Tier 3 pricing where it was granted through membership, exclusive designs and dropshipping) stop.

Liability

The liability provisions in the Trade Terms of Service apply. Bespoke development work is provided with reasonable skill and care; because results depend in part on your specifications and materials, we do not guarantee that a bespoke outcome will meet a subjective expectation that is not a defect.
