Blush+Wren Private Label Supplement

This supplement applies to trade customers using our Private Label service and forms part of, and should be read with, the Trade Terms of Service. Where this supplement conflicts with the general terms, this supplement applies to the Private Label service.

What Private Label is

Private Label allows an approved trade customer to sell our hair under their own brand, using their own packaging or branding elements that we apply or supply as agreed.

There is no minimum order quantity and no artwork or design fees.

Fees and pricing

Private Label is a membership costing £39 per month (excluding VAT; we are not VAT registered). Membership includes a free colour ring (worth £119).

Private Label members buy on one of two pricing tiers:

Private Label Tier 1: equivalent to trade Tier 2 (25.5% off RRP)
Private Label Tier 2: equivalent to trade Tier 3 (29% off RRP)

Your Private Label tier is shown in your account and assigned at our discretion.

Applications and approval

We aim to review and approve Private Label applications within 24 hours.

Your brand and artwork

You are responsible for the accuracy, quality and legality of any brand name, logo, artwork, text or other materials you provide for use on Private Label products ("Your Materials"). By providing Your Materials you confirm that:

you own or are licensed to use Your Materials and their use does not infringe any third party's rights (including trade marks, copyright and design rights);
Your Materials are lawful, not misleading, and do not make claims we have not approved; and
you grant us the right to use and reproduce Your Materials to the extent needed to fulfil your Private Label orders.

We may decline to produce or apply any materials that we consider unlawful, infringing, misleading, or otherwise unsuitable.

Approval and proofs

Where we provide artwork proofs or samples for approval, you are responsible for checking them carefully. We produce Private Label goods based on the version you approve. Once approved and in production, Private Label items are made to order and bespoke to you, and are non-returnable except where faulty (see the Returns and Refund Policy).

Product claims and compliance

You are responsible for ensuring that the way you market and sell Private Label products, and any claims you make about them, comply with applicable law in the territories where you sell. We supply the hair; you are responsible for your own labelling and marketing claims beyond the product specification we provide.

Intellectual property

You retain ownership of Your Materials. We retain ownership of our own products, formulations, designs, processes and any materials we create, except for anything that solely reproduces Your Materials.

Liability and indemnity

To the extent permitted by law, you are responsible for, and will indemnify us against, claims, losses and costs arising from Your Materials or from your marketing, labelling, claims or resale of Private Label products, except to the extent caused by our breach or negligence. The liability provisions in the Trade Terms of Service otherwise apply.

Ending Private Label supply

Either party may stop the Private Label arrangement in line with the Trade Terms of Service. On ending, we will complete or refund accepted orders as agreed, and you will stop presenting our products as endorsed or partnered beyond what has been agreed.
